GENERAL TERMS AND CONDITIONS OF SALE

Clause 1: Purpose and Scope
The general terms and conditions of sale detailed below outline the rights and obligations of Canaldock and its customer within the scope of the sale of goods displayed on its websites, particularly portholes and windows for boats and barges.
Any acceptance of the quote/purchase order, including the clause “I acknowledge having read and accept the attached general terms and conditions of sale,” implies unconditional acceptance by the buyer of these general terms and conditions of sale.
Clause 2: Prices
The prices of goods sold are those in effect on the day the order is placed. They are quoted in euros and calculated excluding taxes. Consequently, they will be increased by the applicable VAT rate and transportation costs on the date of the order.
Canaldock reserves the right to modify its prices at any time. However, it undertakes to invoice the ordered goods at the prices indicated when the order is recorded.
Clause 3: Discounts and Rebates
The proposed prices include any discounts and rebates that Canaldock may grant based on its performance or on the buyer taking responsibility for certain services.
Clause 4: Early Payment Discount
No discount will be granted in the event of early payment.
Clause 5: Payment Terms
Payment for orders is to be made via bank transfer.
Payments must be received before any goods are shipped.
Clause 6: Late Payment
In the event of total or partial non-payment of the delivered goods by the due date, the buyer must pay Canaldock a late payment penalty equal to three times the legal interest rate.
The applicable legal interest rate is the one in force on the day of delivery of the goods.
Since January 1, 2015, the legal interest rate is revised every six months (Ordinance No. 2014-947 of August 20, 2014).
This penalty is calculated on the total amount including tax of the outstanding sum and runs from the due date without the need for any prior formal notice.
In addition to late payment penalties, any amount not paid by its due date, including deposits, will automatically result in a fixed recovery fee of €40.
Articles 441-10 and D. 441-5 of the French Commercial Code.
Clause 7: Termination Clause
If, within fifteen days following the enforcement of the “Late Payment” clause, the buyer has not paid the outstanding amounts, the sale shall be automatically terminated, and Canaldock may claim damages.
Clause 8: Retention of Title Clause
Canaldock retains ownership of the sold goods until full payment of the price, including principal and accessories. Accordingly, if the buyer is subject to receivership or liquidation proceedings, Canaldock reserves the right to claim the unpaid goods within the framework of the collective proceedings.
Clause 9: Delivery
Delivery is made:
Either by direct handover of the goods to the buyer at our warehouses;
Or by delivery of the goods to the location specified by the buyer on the purchase order.
The delivery time indicated during the order process is for information purposes only and is not guaranteed.
Consequently, any reasonable delay in delivery shall not entitle the buyer to:
Claim damages;
Cancel the order.
Transport risks are borne entirely by the buyer.
In case of missing or damaged goods during transport, the buyer must make all necessary reservations on the delivery slip upon receipt. These reservations must also be confirmed in writing within five days of delivery by registered letter with acknowledgment of receipt to Canaldock.
Clause 10: Force Majeure
Canaldock shall not be held liable if the non-performance or delay in the performance of any of its obligations described in these general terms and conditions of sale results from a force majeure event. Force majeure refers to any external, unforeseeable, and irresistible event within the meaning of Article 1148 of the French Civil Code.
Clause 11: Competent Court
Any dispute relating to the interpretation and execution of these general terms and conditions of sale is subject to French law.
If no amicable resolution is reached, the dispute will be submitted to the Commercial Court of Paris.
In accordance with Articles L.616-1 and R.616-1 of the French Consumer Code, our company has established a consumer mediation scheme. The designated mediation entity is: CNPM MEDIATION CONSOMMATION.
